Drafting

Where no form exists, the agreement is built around the actual deal: what each party is providing, when, on what conditions, and what happens if performance fails. That includes letters of intent, access and easement agreements, seller-financing documents, notes and guaranties, deeds, and escrow-related paperwork.

Review & negotiation

Review of a counterparty's draft focuses on the provisions that shift cost, timing, or risk, with proposed revisions and a plain explanation of what each change accomplishes.

Assignments, amendments & consents

Transfers of contract rights, mid-term amendments, landlord and counterparty consents, and the conditions attached to them, including continuing liability.

Transaction structure

Sequencing, leverage, and structure often matter as much as language, including ownership structures for holding real estate and how to approach a counterparty, what to concede, and where to hold.

This contract work is limited to real estate. It does not include general corporate work unrelated to real estate or the sale of businesses. Asset purchase documentation is handled only where it is closely connected to a real estate transaction, occupancy arrangement, or real estate operating business, and this is not a mergers and acquisitions practice.

Commercial leasing, purchase and sale agreements, and title and easement matters frequently involve the same documents.
